Terms & Conditions

Effective date: October 27, 2026

1. Agreement and Scope

These Terms of Service (“Terms”) are a binding agreement between you and C-Suite Holdings LLC (“C-Suite Network,” “CSN,” “we,” “us,” or “our”). Please read them carefully before using our Services.

These Terms apply to all of the following (together, the “Services”):

  • The Website: c-suitenetwork.com and its related pages and subdomains.
  • The C-Suite Network App: our mobile membership app for iOS and Android, where members log in to access member content, events, communities, and notifications.
  • The C-Suite TV App: our streaming app that delivers C-Suite TV video content on mobile devices and connected-TV and over-the-top (“OTT”) platforms such as Apple TV, Roku, Amazon Fire TV, and Google TV.
  • Any other app, product, event, or service we offer that links to these Terms.

The C-Suite Network App and the C-Suite TV App are each called an “App” and together the “Apps.”

By accessing or using any of the Services, creating an account, or downloading an App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Changes to these Terms. We may update these Terms from time to time. We will post the updated version with a new effective date. For material changes, we will give reasonable notice, such as by email, an in-app message, or a notice on the Website. If you keep using the Services after the changes take effect, you accept the updated Terms.

Additional terms. Some Services, such as paid memberships, councils, and events, may have additional terms that we present to you. Those terms become part of these Terms. If they conflict, the additional terms control for that Service. Any terms you propose that add to or conflict with these Terms are rejected unless we agree to them in writing.

2. Accounts, Memberships, and Payments

Eligibility. You must be at least 18 years old and able to enter a binding contract to use the Services. The Services are not directed to children, and we do not knowingly allow anyone under 18 to create an account. If you use the Services for a company, you confirm you have authority to bind that company to these Terms.

Your account. Some Services, including the C-Suite Network App, require an account. You agree to:

  • give accurate, current, and complete information and keep it updated;
  • keep your login credentials confidential, not share your account, and keep only one account;
  • tell us right away at concierge@c-suitenetwork.com if you suspect unauthorized use of your account; and
  • accept responsibility for all activity under your account.

Member accounts and logins are managed through our member platform, which is provided by a third-party service provider (currently Fuse Box). We may require identity or membership verification before granting access, and we may refuse or revoke access to anyone.

Memberships and fees. We offer paid memberships, including the C-Suite Network Executive Membership and smaller private programs such as councils and boards. Each has its own price, benefits, billing period, renewal terms, and any minimum commitment or cancellation notice period. These are shown when you sign up or set out in your membership agreement, and they become part of these Terms. Unless stated otherwise, memberships renew automatically at the end of each billing period until cancelled. You authorize us or our payment processor to charge your payment method for all fees and applicable taxes. We may change prices with advance notice before your next renewal. Fees are non-refundable except as required by law or as stated in your membership terms.

Purchases made through Apple or Google. If we offer a subscription or purchase inside an App, it is processed by Apple (App Store) or Google (Google Play), not by us. Those purchases are governed by Apple’s or Google’s terms, and:

  • subscriptions renew automatically at the end of each period unless you cancel at least 24 hours before renewal;
  • you manage and cancel them in your Apple ID or Google Play account settings; and
  • refunds are handled by Apple or Google under their policies.

Deleting an App or your account does not cancel an app store subscription. You must cancel it in your app store account.

Cancelling a membership bought from us. For memberships purchased directly from us, cancel by emailing concierge@c-suitenetwork.com, subject to any minimum commitment and notice period in your membership terms. You remain responsible for fees incurred before cancellation takes effect.

Deleting your account. You can delete your account at any time:

We will confirm your request and delete or de-identify your account data as described in our Privacy Policy. Deleting your account does not cancel an outstanding membership commitment or erase amounts already owed.

3. Mobile and Streaming Apps

License to use the Apps. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to download, install, and use the Apps on devices you own or control, for your own non-commercial use. You may not:

  • copy, modify, or create derivative works of the Apps;
  • reverse engineer, decompile, or try to extract source code, except where the law allows it;
  • rent, sell, sublicense, or redistribute the Apps; or
  • remove or bypass any security, access control, or content-protection feature.

Updates. We may release updates that fix bugs, add or remove features, or are required for the App to keep working. Some updates install automatically depending on your device settings.

Push notifications. The C-Suite Network App may send push notifications about events, messages, member content, and account activity. You can turn them off at any time in your device settings or in the App. Turning them off does not affect required service messages sent by email.

C-Suite TV App. The C-Suite TV App streams video content for personal viewing only. Some content may require a C-Suite Network membership or subscription, and some may be offered free of charge with advertising. Content availability may vary by platform, device, and region, and we may add or remove content at any time. You may not record, download (except through an offline feature we provide), rebroadcast, publicly perform, or redistribute any content.

Third-party platforms. The Apps are distributed through third-party platforms, including the Apple App Store, Google Play, Roku, Amazon Fire TV, and others (each a “Platform”). Your use of a Platform is also subject to that Platform’s terms. If those terms conflict with these Terms on how the App is obtained or used, the Platform’s terms control to the extent of the conflict.

Additional terms for Apple users. If you downloaded an App from the Apple App Store, you and we agree that:

  1. These Terms are between you and us only, not with Apple Inc. (“Apple”). We, not Apple, are solely responsible for the App and its content.
  2. Your license is limited to use on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
  3. Apple has no obligation to provide maintenance or support for the App.
  4. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the App.
  5. Apple is not responsible for any claims by you or a third party relating to the App, including product liability claims, claims that the App fails to meet legal or regulatory requirements, and consumer protection or privacy claims.
  6. If a third party claims the App infringes its intellectual property rights, we, not Apple, are solely responsible for investigating, defending, settling, and discharging that claim.
  7. You represent that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. government list of prohibited or restricted parties.
  8. You must comply with applicable third-party terms when using the App, such as your wireless data service agreement.
  9. Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple has the right to enforce them against you as a third-party beneficiary.

Questions, complaints, or claims about the App should be sent to us at concierge@c-suitenetwork.com or 4916 S Technopolis Drive, Sioux Falls, SD 57106.

Additional terms for Google Play users. If you downloaded an App from Google Play, you also agree to the Google Play Terms of Service. Google is not responsible for the App or its content, and we are solely responsible for supporting it.

4. Content, Conduct, and Intellectual Property

Our content. The Services, including articles, videos, C-Suite TV and C-Suite Radio programming, graphics, logos, software, and the selection and arrangement of all of it, belong to C-Suite Network or its licensors. They are protected by copyright, trademark, and other laws. Except for the limited rights in these Terms, no rights are granted to you. You may view and print Website articles for your own non-commercial use if you keep all copyright notices.

Acceptable use. You agree not to:

  • use the Services for anything illegal or for a purpose these Terms prohibit;
  • harass, threaten, defame, or impersonate anyone, including other members;
  • post or send content that is unlawful, obscene, hateful, violent, misleading, or that infringes anyone’s rights;
  • send spam or unsolicited promotions, or scrape or harvest member information or contact details;
  • copy, frame, mirror, rebroadcast, or redistribute our content without our written permission, or use it to compete with C-Suite Network;
  • use our content to build a database or to train or improve any artificial intelligence or machine-learning model, or to improve any data you sell or give to others;
  • interfere with or disrupt the Services, or try to gain unauthorized access to them; or
  • use our names, logos, or trademarks in a way that suggests endorsement without our written consent.

Member content. Some Services let you post profiles, messages, comments, or other content (“Member Content”). You keep ownership of your Member Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute it to operate, promote, and improve the Services. You confirm you have the rights to post it. We may remove any Member Content at our discretion. Content you share with other members may be seen and saved by them.

Contributor submissions. If you submit articles, interviews, or other material for publication on the Website, C-Suite TV, or C-Suite Radio, any separate contributor agreement controls. Without one, the license above applies.

Feedback. If you send us ideas or suggestions, we may use them without obligation to you.

Copyright complaints. If you believe content on the Services infringes your copyright, send a notice to concierge@c-suitenetwork.com that identifies the work, the infringing material and its location, your contact information, a good-faith statement, and a statement under penalty of perjury that you are authorized to act.

Third-party services and links. The Services may link to or work with third-party websites, apps, and services, such as event registration, payment, video hosting, and member platforms. We do not control them and are not responsible for their content or practices. Your use of them is governed by their own terms.

Linking and framing. You may link to the Website’s home page or articles in a way that is fair and not misleading. You may not frame, mirror, or cache any page or content of the Services without our written permission. To request permission, write to concierge@c-suitenetwork.com.

5. Legal Terms

No professional advice. Content on the Services is for general information only. It is not legal, tax, accounting, investment, or other professional advice, and it is not an offer or recommendation to buy or sell any security. Views of contributors, speakers, and hosts are their own. The Services are not intended for trading purposes. We do not guarantee the accuracy, completeness, sequence, or timeliness of any content, including financial data and quotes. Some content comes from third-party sources, is subject to their agreements with us, and may be withdrawn by them at any time. Content is not intended for use in any jurisdiction where that use would be unlawful.

Disclaimer of warranties. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, C-SUITE NETWORK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE ARE NOT RESPONSIBLE FOR THE INTERNET, WIRELESS, OR OTHER COMMUNICATION SERVICES YOU USE TO REACH THE SERVICES. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE WITH YOUR DEVICE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, C-SUITE NETWORK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100. Some jurisdictions do not allow these limits, so they may not apply to you.

Indemnification. You agree to defend, indemnify, and hold harmless C-Suite Network and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Services, your Member Content, your violation of these Terms, or your violation of anyone else’s rights.

Suspension and termination. We may suspend or end your access to any Service, with or without notice, if you violate these Terms or if needed to protect the Services, other members, or us. You may stop using the Services and delete your account at any time (see Section 2). When your access ends, you must stop using the Services and delete any materials you downloaded from them. We are not liable to you or anyone else for suspending or ending the Services. Sections that by their nature should survive, including those on intellectual property, payments owed, disclaimers, limitation of liability, indemnification, and governing law, survive termination.

Governing law and venue. These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. You agree that any dispute will be brought only in the state or federal courts located in the State of Delaware, and you consent to their jurisdiction.

Export and sanctions. You may not use or export the Apps or Services in violation of U.S. export laws or sanctions. We do not claim the Services are appropriate or available in every location.

General. These Terms, our Privacy Policy, and any additional terms you accept are the entire agreement between you and us about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Section headings are for convenience only.
