2. Karen Woody looks court cases attacking the expanded authority of the SEC to use in-house courts and judges rather than Article III courts and judges. She rants about the Russian government treatment of Brittany Griner and her shipment to a Russian penal colony.   

3. Jonathan Marks at the question of whether the PCAOB should be folded into the SEC. He shouts out to the Houston Astros for winning the World Series and continues his ongoing rant about takeaway food from Chipotle. 

4. Jonathan Armstrong looks the conviction of former Uber CISO Joe Sullivan and explores what it means for CISOs and CCOs down the road. He shouts out the Houston restaurant Mac N’ Wings for having both Asian/Southern fusion food and the hottest curry he has ever tasted. 

5. Jay Rosen reviews the case of former Santa Clara County Sheriff Laurie Smith, who was recently convicted of corruption. He shouts out to former Patriot Julian Edelman who spoke out forcefully against antisemitism. 

6. Tom Fox joins in to shout out to Kerrville City Councilperson Brenda Hughes who defended the City of Kerrville’s Butt-Holdsworth Memorial Library’s right to have books on LGBTQ+ issues.

1. Jay Rosen has a series of shout outs and rants. He rants about former VP Dick Cheney who created the conditions for today’s GOP leading to the defeat of his daughter Liz Cheney in her primary; spinless Roger Goodell for his hapless leadership of the NFL and concludes with a shout out to Little Leaguer, Isaiah Jarvis who hugged Kaiden Shelton after being hit in the head by a Shelton pitch.  Rosen rants about ESPN stupidly lost the rights to broadcast Bin 10 football.

2. Matt Kelly rants about Harmony Montgomery who died after 2 years of abuse by her father because no one believed her mother that she was in danger. His lesson is that we must listen to whistleblowers.  Kelly has a dual shout out and rant. He shouts out to the campaign being run by John Fetterman for Senate in Pennsylvania and rants about the GOP for seeking the unredacted affidavit which support the warrant to search Mar-a-Lago.  

3. Jonathan Marks rants about the restaurant Chipotle and how they treat live in-person orders differently from online orders you pick up at a store. He shouts out to USC student Jake Freeman for making $110MM on Bed Bath and Beyond stock and rants about the continued failure to make the departure of a CAE or CCO an 8K event. 

4. Tom Fox has a cautionary tale (with a tip of the hat to fellow podcaster Tim Harford) about the importance of good corporate governance in the saga of Blue Bell Ice Cream. 

5. Jonathan Armstrong rants about the damage to the image of the legal profession in the UK down by Neil Gerrard during his time at Dechert for their representation of ENRC. He rants about cookie claimants who don’t take the summer off.

1. Karen Woody takes a deep dive into the history of Glencore, from its founding by Marc Rich in the 1980s through the allegations of bribery, corruption and market manipulation which led to the FCPA and CFTC settlements.  Woody shouts out the US National and state parks systems which provide much needed green spaces for Americans. 

2. Matt Kelly takes a deep dive into CCO certification issue and what it might mean for individual CCO criminal liability going forward.  Kelly has a dula shout out and rant. He shouts out to the Boston Celtics for having the greatest NBA Finals-Game 1 comeback to win the game. He rants about the DOJ failing to post the speech by AAG Kenneth Polite where he announced the new requirement for CCO certification. 

3. Jonathan Marks explores the role of internal audit in contributing to the compliance failures and what IA can do to facilitate a culture change at the company. Marks also has a dual shout out and rant. He shouts out to the Philadelphia Phillies for firing manager Joe Girardi and rants about Glencore’s Press Release about their updated compliance which he rants “says nothing”. 

4. Tom Fox considers the dual monitor aspect of the resolution and the requirements of the monitorships. Fox reads out the names of the students and teachers who were killed in the recent massacre in Uvalde,  TX. 

5. Jonathan Armstrong explores the settlement from the UK perspective and considers, what if any charges against individuals that the UK-Serious Fraud Office might bring. Armstrong shouts out to the Queen’s Platinum Jubilee and Sir Andy Murray for speaking out against the murder of school children. Murray is a survivor of a similar event in Scotland.

3. Jonathan Marks explores the changes the conflict has wrought for ESG. Marks also rants about Moderna which fired its CFO after one day on the job, asking did Moderna perform any due diligence. 

4. Tom Fox looks at the changes in the National Security issues for ABC, AML, and export control. Fox rants about Justice Alito who wants to take American culture, legal rights, and jurisprudence back to 18th-century English law. 

5. Jonathan Armstrong explores the changes the conflict has wrought for ESG. Armstrong shouts out to Ivy Williams and Helena Normanton, the first two women barristers in the United Kingdom.

3. Jonathan Armstrong looks data transfers from the EU to US and UK. Armstrong goes on his most epic rant ever using 2 funerals and a birthday party to excoriate Tory Politicians to not simply talk the talk but follow the rules when it comes to Covid-19 protocols.

4. Karen Woody wades into Elon Musk and his dalliances about investing in and potentially buying Twitter. Woody rants about the recent Declination with Disgorgement given to a MarshMac subsidiary in the UK, the Jardine Group Holdings  and says this is simply a NPA and should be monikered as such.

5. Jonathan Marks discusses the difference between Tone at the Top and Conduct at the Top and why so many companies are falling short in the latter. Marks shouts out to Phillies 3rd baseman Alec Bohm who went from Phillies’ fan goat to hero with a mea culpa and SF Giants assistant coach Alyssa Nakken, who became the first female to take the field and coach in the history of MLB.

6. Fox shouts out to author Margaret Atwood and in her book The Handmaiden’s Tale, which is not a dystopian novel but a prophecy of current Texas in 2022.

3. Jonathan Armstrong looks at greenwashing and how companies which are trying to do the right thing often get in trouble by doing it the wrong way. Armstrong shouts out to Tina Turner for advancing the cause of GDPR and explaining once and for all time ‘what’s love got to do with it.’

4. Karen Woody explains the SEC rule making process and how it can be challenged and responds to SEC Commissioner Peirce’s dissent to the proposed rules. Woody shouts out to the magic of Harry Potter World in Orlando have what she described as ‘awesome’ roller coaster rides, well worth the 3-hour wait in line.

5. Tom Fox rants Academy of Motion Picture Arts and Sciences for their incompetent response to Will Smith slapping Chris Rock at the Oscars and reminds us that workplace violence is never acceptable.
